WD Technologies (WD) und HGST werden jeweils eine hundertprozentige Tochtergesellschaft des Unternehmens sein. Der Umsatz beider Unternehmen belief sich 2011 auf 15 Milliarden USD. Als Chief Executive Officer von WD wird John Coyne weiter CEO sein, unterstützt von Steve Milligan als President, Tim Leyden als Chief Operating Officer und Wolfgang Nickl als Chief Financial Officer.

Eine jüngst von IDC durchgeführte Untersuchung bescheinigt dem Festplattenmarkt eine jährliche Umsatz-Wachstumsrate von 8,6 Prozent bis 2016. "Die Zunahme digitaler Inhalte in Unternehmens- und Endverbraucher-Anwendungen führt zu einer unvermindert wachsenden Nachfrage nach digitalen Speichermedien", sagt John Rydning, Research Vice President, Hard Disk Drives & Semiconductors, IDC. "Mobilität, Cloud-Infrastrukturen, Social Business und umfassende Datenanalysen fördern zudem die Nachfrage nach digitalen Inhalten in neuen Formaten und in neuen Marktsegmenten. Dies nimmt die Hersteller von Speichertechnologien in die Pflicht, neue Produkte und Technologien zu entwickeln."

Der Kaufpreis wird durch einen Fünfjahreskredit über 2,3 Milliarden USD, kurzfristige Finanzierungen von unter 500 Millionen USD revolvierender Kreditvereinbarungen und aus bestehendem Unternehmensguthaben finanziert. Das Unternehmen erwartet, dass sich die Übernahme direkt ertragssteigernd auf das Ergebnis pro Aktie (non GAAP) auswirkt. Ausgenommen davon sind Ausgaben im Bezug auf die Übernahme, Kosten für die Restrukturierung und die Amortisierung immaterieller Werte.
